Our tax team is one of the largest tax groups operating within a law firm in Poland and provides its clients with full and comprehensive tax advice. Close integration with other non-tax lawyers enables us to deliver our clients complex solutions that include not only top-tier tax advice, but also extensive legal advice.
The tax team comprises tax advisors, attorneys-at-law, as well as other tax experts with many years of experience gained in the largest law firms in Poland and in Big4 advisory firms.
Our advisory services cover a wide range of tax matters, including corporate and personal income tax, VAT, real property tax, transfer taxes, and international taxation. We advise the largest Polish and international corporations from a broad array of industries, including financial institutions, PE funds, real estate entities, energy firms, and telecom operators.
As the tax regulations and practice of the Polish tax authorities are subject to frequent changes, we provide our clients with general tax advisory services comprising on-going tax advice in the form of what is referred to as hot-lines, opinions, analyses, and in-house training sessions relating to both day-to-day issues as well as specific transactions or events. We also conduct periodic and annual tax reviews allowing clients to adjust their tax policies and to ensure greater security with respect to tax settlements.
As part of the leading M&A law firm in Poland, our tax team has unique experience with respect to the tax aspects of M&A transactions and other business reorganisations, such as mergers and demergers (spin-offs), transfers of businesses and organised parts thereof, cross-border transactions, corporate restructurings, IPO and SPO offerings, and tax grouping structures.
Our services relating to business reorganisations include conducting tax due diligences (for both vendors and buyers), transaction structuring, providing advice on the tax aspects of financing and refinancing structures, the introduction of retention and LTI structures for individuals, as well as on-going tax advice relating to restructuring processes.
An ever-evolving tax law and the lack of a unanimous practice of the tax authorities has resulted in a significant risk of non-compliance with the requirements of the tax law. Therefore, we also represent our clients in tax disputes and proceedings before tax authorities and administrative courts. Together with our litigation team, we also support management board members and other persons responsible for financial affairs in penal fiscal liability cases.
